Terms of Service

These Terms of Service ("Terms") govern your use of Terra Switching and Processing Company Limited's ("Terra Switch", "we", "our") payment services, website, and related products. By using our services, you agree to these Terms.

1. Service description

Terra Switch provides payment switching, processing, merchant services, payment gateway, POS terminal deployment, API integration, and virtual card issuance services to licensed banks, merchants, payment service providers, and corporate customers in Nigeria.

2. Eligibility

You must be a legally registered entity in Nigeria with a valid CAC registration and TIN. For payment service providers, a current CBN license is required. Individuals may use our services subject to KYC verification and applicable transaction limits.

3. User obligations

By using our services, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials and API keys
  • Notify us immediately of any unauthorized access or security breach
  • Comply with all applicable laws, including AML/CFT regulations
  • Not use our services for fraudulent, illegal, or prohibited transactions
  • Pay all applicable fees as per our published tariff sheet
  • Refunds and disputes must be processed in accordance with CBN regulations

4. Provider obligations

Terra Switch commits to:

  • Provide services with reasonable skill and care in accordance with industry standards
  • Maintain the uptime and availability targets set out in Section 6 (Uptime)
  • Process failed transactions and dispense errors within 48 hours
  • Resolve switch chargebacks within 24 hours of initiation
  • Maintain PCI DSS Level 1 certification and applicable security standards
  • Provide timely notice of planned maintenance that may affect service availability
  • Protect customer data in accordance with the NDPR and our Privacy Policy

5. Fees and payment

Fees are as published in our current Tariff Sheet. We may revise fees with at least 30 days' written notice. Continued use of the services after the effective date of revised fees constitutes acceptance. All fees are exclusive of applicable VAT.

6. Uptime and service levels

Terra Switch targets the following service levels for production services:

  • Switching & Processing: 99.9% monthly uptime, excluding scheduled maintenance
  • Payment Gateway: 99.9% monthly uptime with sub-2-second response times
  • POS Terminals: 99.5% device availability, 24-hour replacement for faulty devices
  • API: 99.9% monthly uptime, P95 latency under 500ms

Scheduled maintenance is performed during low-traffic windows (typically 2:00–4:00 AM WAT) and is announced at least 48 hours in advance. Service credits for missed SLA targets may be available for enterprise customers as defined in individual service agreements.

7. Limitation of liability

To the maximum extent permitted by Nigerian law, our aggregate liability for any claims arising from or related to the services shall not exceed the total fees paid by you to Terra Switch in the twelve (12) months preceding the claim. Nothing in these Terms shall exclude or limit liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

8. Indemnification

You agree to indemnify Terra Switch against any losses, damages, or claims (including reasonable legal fees) arising from your breach of these Terms, your misuse of the services, or your violation of any applicable law.

9. Termination

Either party may terminate the service agreement with 30 days' written notice. Terra Switch may suspend or terminate services immediately in cases of suspected fraud, regulatory direction, or material breach. Upon termination, you remain liable for all fees accrued up to the termination date, and we will settle your account balance within 30 days.

10. Complaints and dispute resolution

For complaints, contact redress@terraswitching.com. We aim to acknowledge within 24 hours and resolve within 14 days. Unresolved disputes may be escalated to the CBN Consumer Protection Department or the relevant arbitration body.

11. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of Nigerian courts, without prejudice to consumer rights under the NDPR or CBN regulations.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email and a prominent notice on our website at least 30 days before they take effect.
